1. Introduction
Welcome to EdekiHub, a product of Edeki Multipurpose Company Ltd (“Marketplace,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of our global multivendor platform, including all associated services such as listings, payments, escrow, logistics integrations, and dispute resolution systems (collectively, the “Platform”).
By accessing or using the Platform, you irrevocably agree to these Terms.
2. Platform Status and Legal Structure
The Marketplace operates strictly as a technology intermediary and facilitator.
The Marketplace:
- Does not take title to goods
- Does not act as buyer or seller
- Does not guarantee product legality, quality, or delivery
- All transactions are solely between independent users.
3. Global Compliance and Sanctions
Users agree to comply with all applicable:
- Trade laws and export controls* Economic sanctions programs (including but not limited to OFAC, EU, UK, UN sanctions regimes)
- Anti-corruption laws (e.g., FCPA, UK Bribery Act, EFCC)
Restricted users:
You may not use the Platform if you:
- Are located in or associated with sanctioned jurisdictions
- Appear on sanctions or watchlists
- Are acting on behalf of restricted entities
We reserve the rights to:
- Screen users against global watchlists
- Immediately terminate or freeze accounts linked to sanctions risks
4. KYC, AML and Financial Crime Prevention
4.1 Mandatory Verification
We may require:
- Government-issued ID
- Biometric verification
- Business registration and ownership disclosure
4.2 Enhanced Due Diligence
High-risk users may be subject to:
- Ongoing monitoring
- Source of funds verification
- Transaction pattern analysis
4.3 Enforcement Actions
We may:
- Freeze or seize funds
- Report activity to regulators
- Refuse withdrawals indefinitely pending investigation
5. Escrow, Payments and Fund Control

The Marketplace acts as a limited escrow agent with unilateral control over funds.
5.2 Absolute Discretion Over Funds
We may:
- Delay, suspend, or reverse payments
- Hold funds for risk, compliance, or dispute reasons
- Offset balances against liabilities
5.3 Chargebacks and Reversals
Sellers bear full liability for:
- Chargebacks
- Payment reversals
- Fraud-related losses
- The Marketplace may recover such amounts from seller balances or other means.
6. Seller Performance, Penalties, and Liability
6.1 Performance Metrics

- Order fulfillment rates
- Customer complaints
- Return/refund ratios
6.2 Enforcement Measures
We may impose:
- Listing suppression
- Financial penalties
- Fund reserves
- Permanent bans
6.3 Strict Liability
Sellers are strictly liable for:
- Product defects
- Legal violations
- Consumer harm
- Regulatory breaches
7. Prohibited Products
The following are strictly prohibited
7.1 Weapons & Military
- Firearms, ammunition, explosives
- Military-grade equipment
7.2 Drugs & Chemicals
- Controlled substances
- Synthetic drugs
- Toxic industrial chemicals
7.3 Financial Crimes
- Counterfeit currency
- Stolen financial instruments
- Fraud tools
7.4 Intellectual Property Violations
- Counterfeit goods
- Pirated content
- Trademark-infringing items
7.5 Human Rights Violations
- Human trafficking-related items
- Exploitative content
7.6 Sanctioned Goods
- Goods originating from restricted regions
- Products violating export/import bans
7.7 Environmental Violations
- Endangered species products
- Illegal mining materials
7.8 Unsafe or Recalled Products
- Products flagged by regulators
- Hazardous consumer goods
7.9 Payment Processors’ Prohibited Products
Any product considered prohibited by our payment processor(s).
7.10 Discretionary Ban
We may prohibit any item at our sole discretion without explanation.
8. Tax, Duties and Cross-Border Trade
Users are responsible for:
- Customs compliance
- Duties, tariffs, VAT, GST
The Marketplace:
- May collect taxes where required
- Is not liable for tax misreporting
9. Dispute Resolution and Arbitration
9.1 Mandatory Arbitration
All disputes shall be resolved exclusively through *binding arbitration

Users Knowledge:
- The Platform is a passive intermediary
- Liability rests solely with transacting parties
11. Acceptable Use Policy (AUP)
In addition to all Terms, users agree not to:
- Circumvent Platform fees, systems, or controls
- Conduct off-platform transactions initiated on the Platform
- Use bots, scraping tools, or automation without authorization
- Manipulate ratings, reviews, or search rankings
- Engage in price fixing or collusion
- Upload malicious code or attempt to disrupt Platform operations
12. Fraud Detection and Automated Enforcement
The Marketplace may use AI-driven risk systems to monitor:
- Transaction anomalies
- Behavioral patterns
- Device fingerprinting
- Payment risks
Automated Actions:
We may, without human intervention:
- Block transactions
- Freeze accounts
- Withhold funds
- Downgrade visibility
Users agre that:
- Automated decisions are valid and binding
- No explanation is required for enforcement actions
13. Limitation of Liability
Total liability is strictly limited to fees paid to the Marketplace.
No liability for:
- Indirect damages
- Loss of profits or business
- Reputational harm
14. Indemnification
Users agree to fully indemnify the Marketplace against:
- Legal claims
- Regulatory actions
- Third-party disputes
- Financial losses
This obligation survives termination indefinitely.
15. Account Suspension and Enforcement
We may take action without notice, including:
- Account suspension or deletion
- Permanent bans
- Fund freezing
- Reporting to authorities
16. Data Monitoring and Surveillance
We may monitor all activity on the Platform.
Users consent to:
- Data collection
- Automated decision-making
- Sharing with authorities
17. Force Majeure
We are not liable for disruptions caused by events beyond our control.
18. Modifications
We may change these Terms at any time without notice. Continued use constitutes acceptance.
19. Severability
Invalid provisions do not affect the remainder.
20. Entire Agreement
These Terms supersede all prior agreements.

ALL USERS ASSUME FULL RISK FOR THEIR USE OF THE PLATFORM.
BY USING THE PLATFORM, YOU IRREVOCABLY WAIVE CERTAIN LEGAL RIGHTS AND ACCEPT THESE TERMS IN THEIR ENTIRETY.
